1. The service

WorkForce Tracker is a SaaS attendance platform for companies, with GPS verification, offline operation and blockchain-anchored integrity evidence. The service is provided by ColdTech Advanced Solutions LTD ("ColdTech"), Edmonton, Alberta, Canada, to companies (the "Customer"). It is not a consumer service.

2. Account and dedicated instance

Each Customer receives a dedicated instance of the service (its own subdomain, application and database). The Customer is responsible for managing the users of its instance, for the accuracy of onboarding information and for keeping its credentials confidential.

4. Acceptable use

The Customer agrees to use the service in compliance with applicable law, including labour and privacy legislation, to inform its workers about the platform as required by PIPEDA/PIPA, and not to attempt to breach security, resell the service, or use it for purposes other than attendance control and field workforce management.

5. Customer data

Data loaded into the instance belongs to the Customer. ColdTech processes it solely to provide the service, as described in the Privacy policy. Upon termination, the Customer may request an export of its database before the instance is permanently deleted.

6. Availability and support

ColdTech operates the service with commercially reasonable efforts, announced maintenance windows and periodic backups. Contractual service level agreements (SLA), once published for the Enterprise plan, will be agreed in writing; until then no specific availability guarantee applies.

7. Intellectual property

The software, the WorkForce Tracker brand and the documentation are the property of ColdTech or its licensors. The subscription grants the Customer a limited, non-exclusive, non-transferable licence to use the service for the duration of the contract.

8. Limitation of liability

To the maximum extent permitted by Alberta law, ColdTech's total liability for any claim arising from the service is limited to the amount paid by the Customer in the 12 months preceding the event giving rise to the claim. ColdTech is not liable for indirect damages, loss of profit, or data loss caused by factors beyond its reasonable control. The blockchain record constitutes integrity evidence; its probative value in a specific proceeding is for the competent authority to determine.

9. Termination

Either party may terminate the subscription at the end of the paid period. ColdTech may suspend the service for non-payment (with notice) or for use that compromises platform security. After termination, the export and purge process described in section 5 applies.

10. Governing law

These terms are governed by the laws of the Province of Alberta and the applicable federal laws of Canada. The parties submit to the courts of Edmonton, Alberta.
